By accessing and using BizBooks ("the Service"), operated by Tin Foil Hat co, a sole proprietorship based in New Jersey, United States, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use this service. By creating an account, you confirm that you have read, understood, and agree to be bound by these terms.

2. Description of Service

BizBooks is a free business accounting and bookkeeping software platform provided as a service (SaaS) to help businesses manage their finances, invoices, payments, time tracking, employees, expenses, and related business operations. The Service is currently provided at no charge, though we reserve the right to introduce paid features or subscription plans in the future with advance notice to users.

3. User Accounts and Registration

To use BizBooks, you must register for an account by providing your first name, last name, and email address. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your password and account credentials
  • Accept all responsibility for all activities that occur under your account

  • Not share your account credentials with others
  • Not create multiple accounts for fraudulent purposes

You must be at least 18 years old or the age of majority in your jurisdiction to create an account.

4. User Responsibilities and Acceptable Use

You are responsible for:

  • Ensuring the accuracy and completeness of all financial and business data entered
  • Maintaining your own backups of all critical data. While we maintain system backups for disaster recovery purposes, you are solely responsible for creating and maintaining your own backups. We strongly recommend regularly exporting and backing up all important data to your own systems.
  • Complying with all applicable laws and regulations in your jurisdiction
  • Using the Service only for lawful business purposes
  • Not using the Service to store, transmit, or distribute illegal content
  • Not attempting to gain unauthorized access to the Service or other users' data
  • Not interfering with or disrupting the Service or servers
  • Not using automated systems to access the Service without our permission

5. Service Fees and Future Pricing

BizBooks is currently provided as a free service. There are no subscription fees, setup fees, or charges for using the platform at this time.

We reserve the right to introduce paid features, premium tiers, or subscription plans in the future. If we do so:

  • We will provide at least 30 days advance notice to all users
  • Existing users may be grandfathered into a free plan or offered preferential pricing
  • You will have the option to continue using a free tier (if available) or cancel your account
  • Any fees will be clearly communicated before you are charged

6. Data Ownership and Usage

You retain complete ownership of your data. We do not claim any ownership rights to the content, data, or information you submit to BizBooks, including but not limited to invoices, employee records, time cards, financial data, company information, and any other business records.

By using our Service, you grant us a limited, non-exclusive license to:

  • Store and backup your data on our servers
  • Display your data back to you and authorized users within your company
  • Process your data as necessary to provide the Service features
  • Send transactional emails on your behalf (such as password resets)

We will never:

  • Sell your data to third parties
  • Use your data for advertising purposes
  • Share your data with others without your permission (except as required by law)
  • Mine your data for our own commercial purposes

7. Service Availability and Warranties

We strive to provide reliable, uninterrupted service, but the Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that:

  • The Service will be available 24/7 without interruption
  • The Service will be error-free or bug-free
  • All defects will be corrected immediately
  • The Service is free of viruses or other harmful components
  • The Service will meet your specific business requirements
  • Data loss will never occur (though we maintain backups and take precautions)

Data Loss Disclaimer: We are not responsible for any loss, corruption, or unauthorized access to your data, whether caused by system failures, security breaches, software bugs, user error, or any other reason. You acknowledge that you use the Service at your own risk and are solely responsible for maintaining backups of your data.

We may perform scheduled maintenance, updates, or upgrades that temporarily interrupt service. We will attempt to provide advance notice when possible.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Tin Foil Hat co and BizBooks shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Business interruption or work stoppage
  • Data loss, data corruption, or data theft of any kind, whether caused by system failures, security breaches, software defects, hardware failures, user error, or any other reason
  • Any damages arising from your use, misuse, or inability to use the Service
  • Damages caused by third-party services or integrations
  • Errors or inaccuracies in financial calculations (you are responsible for verifying all data)
  • Failure of backups or inability to restore data

Because the Service is provided free of charge, our total liability to you for any claim arising from these terms or the Service shall not exceed $100 USD. Some jurisdictions do not allow the limitation or exclusion of liability, so these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tin Foil Hat co, BizBooks, and its operators from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms and Conditions
  • Your violation of any applicable laws or regulations
  • Your violation of any rights of another party (including intellectual property rights)

BizBooks uses Brevo (formerly Sendinblue) for transactional email delivery. Your use of BizBooks may involve the processing of your email address by Brevo subject to their terms of service and privacy policy.

We may add additional third-party integrations in the future. Your use of any third-party services is subject to their respective terms and conditions. We are not responsible for third-party services, their availability, security, or content.

13. Data Security and Privacy

We take data security seriously and implement appropriate measures to protect your data. Please review our Privacy Policy for detailed information about how we collect, use, and protect your data.

14. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes by posting the updated terms on this page and updating the "Last Updated" date. Your continued use of the service after changes constitutes acceptance of the new terms.

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New Jersey and the United States of America, without regard to conflicts of law principles. Any legal action or proceeding arising under these terms will be brought exclusively in the federal or state courts located in New Jersey, and you consent to personal jurisdiction in such courts.

Exception: Either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek injunctive relief in court for intellectual property infringement.
